3. Quotations, Orders & Specifications

• Quotations issued in response to an inquiry are valid only for the period stated in the quotation and are subject to written confirmation before an order is considered accepted.
• Production and chemical formulation proceed against the specification, drawing, or sample you provide and approve. Any change to that specification after production has started may affect cost, lead time, or both.
• We reserve the right to decline an order where the requested specification, quantity, or destination falls outside our current process capability or compliance requirements.
• Minor dimensional or formulation tolerances consistent with standard industrial manufacturing practice may apply unless a tighter tolerance is explicitly agreed in writing.

4. Pricing & Payment

Prices quoted are exclusive of applicable taxes, duties, and freight unless the quotation states otherwise, and are typically quoted against a specific INCOTERM (such as EXW, FOB, or DDP) that determines which party bears which costs and risks during transit. Payment terms are agreed on a per-order basis and confirmed in writing before production begins. Prices are not final until confirmed in a written quotation or order acknowledgment; prices shown or implied elsewhere on the Website are indicative only.

5. Export & International Trade Compliance

As an exporter, we prepare shipping documentation, including certificates of origin, MSDS, and destination-specific paperwork, to support compliant international shipment. However:

• You are responsible for confirming that the products you order may be lawfully imported into your destination country, including any licensing, registration, or regulatory approval requirements specific to that jurisdiction.
• We reserve the right to decline or delay an export order where we reasonably believe it may violate applicable export control, sanctions, or trade compliance laws.
• Customs clearance timelines and requirements in the destination country are outside our control and are not guaranteed by us.

6. Intellectual Property

8. Warranties & Limitation of Liability

We warrant that products manufactured or supplied by us will conform to the specification confirmed in writing at the time of order, subject to standard industrial tolerances. This warranty does not cover damage arising from improper storage, handling, or use after delivery, or from modifications made after the goods leave our facility.

To the maximum extent permitted by applicable law, Prishiv Industries' total liability arising out of any order shall not exceed the value of that order, and we shall not be liable for indirect, incidental, or consequential losses, including loss of profit or business interruption, arising from the use of our products or this Website.

9. Force Majeure

We will not be liable for any delay or failure to perform an obligation under these Terms or a confirmed order where that delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, raw material shortages, port congestion, labour disputes, or government action.

10. Governing Law & Jurisdiction

These Terms, and any order confirmed under them, are governed by the laws of India. Any dispute arising out of or in connection with these Terms or an order shall be subject to the exclusive jurisdiction of the competent courts at Ahmedabad, Gujarat, India, without prejudice to any mandatory consumer or trade protections that may apply in your jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The date at the top of this page indicates when it was last revised. Changes will not apply retroactively to orders already confirmed in writing.
